Our Full Company Secretary Service includes a dedicated company secretary for your company (shown on your C R 6 Form) and a dedicated account manager who will maintain your statutory registers, make changes to your company in accordance with your instructions, and prepare and file your annual returns and declaration of annual general meeting.
What’s included in our price
- An appointed company secretary (Numeri Secretarial Services (Private) Limited) to that you take your company’s compliance seriously.
- A dedicated account manager, who is a qualified company secretary or para-legal executive, on hand to answer your questions and process your instructions.
- Preparation and filing of your mandatory annual Annual Returns, including the Companies Registry filing fee.
- Preparation and filing of your mandatory annual Declaration of Annual General Meeting, including the Companies Registry filing fee.
- Writing up, maintenance and safekeeping of all seven statutory registers, as required by the Companies and Other Business Entities Act (Chapter 24:31) (including Register of Directors and Secretaries, Register of Members, Register of Alloments etc.).
- Up to three changes to your company per year, including share transfers, director changes, and company address changes free of charge (additional transactions thereafter are charged at our standard rates).
- Statutory health check.
How much does it cost?
Our Full Company Secretary Service costs US$220.00 per year.
What happens next?
- Once you have purchased this service, we will appoint our corporate secretary (Numeri Secretaries Limited) to your company.
- We will prepare and store your company registers for your convenience. If you require a copy of these, we will forward them to you.
- Your dedicated account manager will always be on hand, to carry out changes, maintain your registers and deliver copies, and file your annual Annual Return.

How it works

- Provide the company information (company name and/or number) and the information of the director who is being appointed or resigned.
- We will prepare and file the required form(s) with the Companies Registry to appoint or resign the director.
- You will receive updated forms (return copies) that confirm the appointment or resignation has been approved at the Companies Registry.

How long does it take to set up the dedicated company secretary service?
It takes around 3 to 5 working days to complete the initial set up of the service, which includes appointing your new company secretary, and preparing the first set of statutory registers.
Can I buy this service if I did not register a company with Company Formations?
Absolutely yes. This service is available to any Zimbabwean registered company.
When can I contact my account manager?
On weekdays between 9 a.m. and 5 p.m. (excluding public holidays), your designated account manager will be available to answer your questions via phone or email.
How often do you provide my company registers?
Based on our experience, keeping a copy of a customer’s statutory company registers is an administrative burden they don’t want, so we’ll store your registers at our offices on your behalf. On demand, We’ll give you access to your registers.
Can I use my three company changes on a different company?
We will perform up to three company secretarial changes for your company each year as part of this service. This is only available to the company for which the Full Company Secretary Service was purchased.
What types of companies can use this service?
The Dedicated Company Secretary Service is available for all Private Limited Companies (PLC’s). Unfortunately, it is not available to Private Business Corporations (PBC’s).
Do you provide any other company secretarial services in addition to those listed?
Yes. We provide a wide variety of company secretarial services, such as amending or substituting artcles and/or memorandum of association, share allotments, trade name registrations, and more. For this work, there are additional costs that will be discussed with you before the work is started.
I have some filings that need to be made with the Companies Registry, Will you submit them for me?
Yes. Once we are appointed as company secretary and receive all supporting documentations, we will be happy to make the filings at the Companies Registry.
How do you file my Annual Return or Declaration of Annual General Meeting?
Your appointed dedicated account manager will contact you 30 days prior to the filing date and ask you to confirm a summary detailing the required information regarding the current status of your company. We will then prepare and file your documents. The Companies Registry filing fee is included within the price of this service.
Will you sign any documentation on behalf of my company?
Where we have a Power of Attorney (POA) in place, we will sign documents we are authorised to do so. For all other documents, and for cases where we do not have a POA in place, we will send documents to the appointed directors for signing.
Are there any compliance requirements?
Yes. We require that all filings are up to date will and, however will carry a statutory health check to find out if there are any outstanding filings that need to be updated first. If there are any, we will inform you.
