Generally company registration in Zimbabwe is made easy if you go through a registered company registration agent such as Company Formations. However, there are certain requirements for company registration in Zimbabwe. These are mandatory and should be provided for the sake of company registration.
This guide will help you understand all the necessary requirements for company registration in Zimbabwe.
1. Company name(s)
The first requirement for company registration in Zimbabwe is company names. You are supposed to provide 3-5 proposed company names in order of preference that is, the most desired at the top and the least at the bottom (our company registration application form necessitates this).
You should avoid a few things when choosing a company name. You should avoid names that are exactly identical, or too similar, or that sound like any other company name already registered in Zimbabwe.
When coming up with company names, the use of name qualifiers is also encouraged. Examples of name qualifiers are investments, enterprises, incorporated, group, global etc. You can also use industry related qualifiers such as mining, transport, energy, consulting, construction, manufacturing, aviation, finance etc. Industry related name qualifiers are largely influenced by the industry you want to operate in. The reason for name qualifiers is to increase the chances of your preferred proposed company names to be accepted by the Companies Registry office. They make a company name less common.
When coming up with your proposed company names, you should also avoid the use of digits and abbreviations when considering your company names. Name such as 32 Group, 108 Holdings, ABC Holdings, ZB, or CBZ are not allowed. However, numbers spelt in words can be used for example, thirty two Group.
2. Directors details
Company directors are responsible for the day to day operations of the company. Generally, they are workers of the company appointed by the company shareholders to run the business on their behalf. A shareholder can also be a director.
A Private Limited Company (PLC) should have at least two (2) and a maximum of fifty (50) company directors at least one being ordinarily a resident of Zimbabwe. On the other hand, a Private Business Corporation (PBC) can have one (1) and a maximum of twenty (20) directors. In a Private Business Corporation directors are known as members and members are also the owners of the Private Business Corporation.
Every director should be above the legal age, that is above 16 years and should not be disqualified. The details of the company directors are listed on the C.R. 6 (Former C.R. 14) company registration form when registering a Private Limited Company and on a list of members when registering a Private Business Corporation.
The following are the directors details required:
- Name(s) and surname as shown on their official government issued identity documents
- Any former names if present and
- National identity number or passport number
- Full residential or business and postal address.
3. Shareholders details
Shareholders are the owners of the company. They own the company by owning shares in the company. They are listed in memorandum and articles of association when registering a company. They called subscribers.
The following are the shareholders details required:
If the shareholder is an individual:
- Name(s) and surname as shown on their government issued identity documents
- Full residential or business address.
If the shareholder is a company:
- Company name
- Company number
- Company address
- Company’s representatives name and surname

4. Company secretary details
A company secretary is responsible for helping company directors administer the company. They are mostly responsible for legalities of the company including company registration, change of company directors etc. A company secretary can not be a corporate but should be a living individual.
On the other hand, a Private Business Corporation does not need a company secretary. The company members/directors are liable for all the company administration. The details of the company secretary are listed on the C.R. 6 (Former C.R. 14) company registration form.

5. Company addresses
Addresses are used by the Companies Registry Office for their official communication with the company directors and/or company secretary. The addresses are listed on the C.R. 5 (Former CR 6) company registration form.
The following are the addresses that are required:
- Physical address – this strictly has to be a Zimbabwean address.
- Postal address, and
- Email address

6. Business core objectives
The last requirement for company registration in Zimbabwe are the core objectives of the company. These are the business activities the company intends to carry out and they are spelt out in the memorandum and articles of association.
