When you register your company through company formations, there are official documents that you receive. These will serve to show that your business is properly and legally registered. They maybe required in some institutions for example when you are opening a bank account or when registering with the Zimbabwe Revenue Authority (ZIMRA).

Certificate of incorporation
A certificate of incorporation is a document issued by the Companies Registry that shows you have legally registered your company in Zimbabwe. This is in line with the Companies and Other Business Entities Act [Chapter 24:31]. You can regard it as your company’s birth certificate.
A certificate of incorporation shows the name of your company, the company number and the date of incorporation. It is stamped signed by the registrar of companies.
CR 5 (Former CR 6)
Also called a list of address, a CR 5 form shows your company’s official addresses. It shows the physical, postal and email address addresses of your company. A CR 5 also shows your company number.
CR 6 (Former CR 14)
Also called a list of directors, a CR 6 form shows the company’s directors, company secretaries and the principal officer of the company.
It shows your company’s director’s and secretary’s:
- Date of appointment
- Name(s) and surname
- National identity number or passport number
- Residential or business address
A principal officer is the individual responsible for registering your company.
Memorandum of association
A memorandum of association is a legal document prepared and adopted by the company’s shareholders when registering a Private Limited Company. The shows the company’s name, the nation in which your company is registered, the core business objectives of the company and the distribution of shares.
Articles of association
An articles of association serves as the rules and regulations of the company. The document lays out how tasks are to be accomplished within the organization, including the process for appointing directors and the handling of financial records.
