When registering a Private Limited Company in Zimbabwe you are supposed to have company directors. The law states that every Private Limited Company is required to have at least 2 directors at least one being ordinarily a resident of Zimbabwe.
However, corporate bodies can not be directors in a Zimbabwean Private Limited Company.
According to the COMPANIES AND OTHER BUSINESS ENTITIES ACT
[CHAPTER 24:31] to be eligible to be a company director, an individual must:
- Not be a body corporate; or
- A minor or any other person under legal disability; or
- A person who is removed by the court from any office of trust on account of misconduct save with the leave of the court; or
- A person who has at any time been convicted whether in Zimbabwe or elsewhere, of theft, fraud, forgery or perjury and has been sentenced therefore to serve a term of imprisonment without the option of a fine
Can a Non-Zimbabwean citizen be a company director in a Private Limited Company?
There is no rule in the Companies Act, or other existing Zimbabwean legislation, which requires company directors to be only Zimbabwean citizens.
Can corporate bodies be directors in a Private Limited Company?
Corporate bodies such as other companies can not be a director in a Zimbabwean Private Limited Company. Corporate bodies can only be shareholders.
