What is company re-registration?

Company re-registration is the process of re-incorporating or updating or renewing the company registration of a company with the Companies Registry in accordance to the requirements of the Companies and Other Business Entities Act (Chapter 24:31) ensuring compliance with the current laws and regulations. 

Why should I re-register my company?

A new companies act i.e., the Companies and Other Business Entities Act (Chapter 24:31) was introduced on 13 February 2020 and the new Act requires every Zimbabwean registered company or business corporation to re-register.

It is an administration exercise intended for 2 reasons:

1. to establish a new and updated register of companies and private business corporations; (b) to remove apparently non operating business entities from the register of companies, that is to say a company or private business corporation which appears to the Registrar to be defunct because— (i) it is not submitting to the Registrar the statutory annual returns and; and (ii) it appears to the Registrar to be inactive, that is to say it is not being operated or is not active in business.

What happens if I do not re-register my company?

If you do not re-register your company, your company will be struck off from the companies register. Legally, you will nolonger be allowed to trade because the company would have ceased to exist. Anyone would be at liberty to take over your company name and register it as their own company.

What information should I provide for company re-registration in Zimbabwe?

You are to provide your company name and company number.

What documents will I receive?

After re-registering your company you will receive a certificate of re-registration.

How long will it take to re-register my company?

It will take 3-5 working days if we are provided with all the information.

What is the deadline for companies to re-register?

The deadline for re-registering your company was initially 13 February 2023 however the deadline has since been moved to 2024.

What types of companies are supposed to re-register?

All existing companies including Private Limited Companies (PLC’s), Corporative Companies, Companies Limited by Guarantee etc., and Private Business Corporations (PBC’s) are suppossed to re-register.

Can I use this service if I did not register a company with Company Formations?

Absolutely yes. This service is available to any Zimbabwean registered company.

What is an annual return and declaration of AGM that should be up to date for the filings to be accepted at the Companies Registry?

An annual return is a document that is filed with the Companies Registry to confirm the details of a company and a declaration of AGM is a document that is filed with the Companies Registry that confirms that a Private Limited Company has held it’s mandatory annual general meeting as instructed by the Companies and Other Business Entities Act (Chapter 24:31).

These two filings are yearly mandatory filings by all Private Limited Companies registered in Zimbabwe. Failure to file, any amendment, changes or update to your company details will be rejected by the Companies Registry until they are updated.
